These terms and conditions include general terms and conditions for use of this Site, terms and conditions relating to the Services and terms and conditions relating to the sale and purchase of Products on the Site. Please read these terms and conditions carefully.

Your use of the Site and Services and the purchase of any Products on this Site will be subject to these terms and conditions.

These Conditions may be modified. It is your responsibility to read them periodically, as the Conditions at the time of using the website or concluding of the relevant Contract (as defined further on) shall be those that apply.

The information available on or through this Site, and the Services supplied via or in connection with this Site, (including the editorial material provided by Zukili Lifestyle Ltd), is intended as information only and does not constitute professional advice.

Where the Site or any Submission made by any user includes views, opinions, advice and recommendations, these views, opinions, advice and recommendations are not endorsed by us and we do not accept any liability on account of the accuracy, defamatory nature, completeness, timeliness or otherwise of such views, opinions, advice and recommendations.

We try to make sure that all information contained on the Site (and provided by us to you as part of any Services or Products) is correct, but the information is of a general nature and not intended to comprise of all the information relating to the subject matters referred to by the Site and therefore we do not accept any liability for any error or omission and exclude all liability for any action you may take or loss or injury you may suffer (direct or indirect including loss of pay, profit, opportunity or time, pain and suffering, any indirect, consequential or special loss, however arising) as a result of relying on any information on this Site.

Our liability to you in connection with any Product purchased through the Website is strictly limited to the purchase price of that Product.

 1. Definitions

 In these terms and conditions, the following definitions apply:

 “Zukili Lifestyle Ltd”, whose registered whose registered office is at Panayiotopoulos Court, 303, Ayias Phylaxeos 104, Limassol, 3087, Cyprus and whose company registration number is ΗΕ417040 and registered VAT number is 10417040 and 'we', 'us', 'our' shall mean “Zukili Lifestyle Ltd”.

 "Dispatch Confirmation" the email we send you confirming your order (at which point the contract between us will be formed);

 "Materials" defined in clause 2.2;

 "Products" means any products offered for sale on the Site;

"Services” means any information and services ordered and/or provided by Zukili Lifestyle Ltd through or via the Site. For the avoidance of doubt, any electronic information supplied to you by Zukili Lifestyle Ltd will constitute part of the "Service" not a Product and cancellation rights will apply accordingly;

"Site” means the web site at the URL www.zukili-lifestyle.com or WAP site or replacement site(s) from time to time;

"Submission" means any written comments including a Review that you supply to us or post directly to the Site relating to the Products together with any photographs.

“Personal Information” means the details you provide to us when you use the Website, such as your name, email address, billing address, delivery address, telephone number, Product selections, credit card or other payment information and a password.

 2. Use of this Site generally

2.1 You may use the Site for personal and lawful use and in accordance with these terms and you are not allowed to copy or use any material from the Site for any commercial purpose including for selling any goods or services.

2.2 The intellectual property rights in all materials on the Site and supplied as part of the Products or Services ("Materials") are owned by Zukili Lifestyle Ltd or its third party licensors. Except to the extent expressly set out in these terms and conditions, you are not allowed to make any copies of any part of any materials, or remove or change anything on the Site, include or create links to or from the Site without our written authority, or remove or change any copyright, trade mark or other intellectual property right notices contained in any Materials or copies or the Materials.

2.3 Should you make a Submission to us, you agree to grant us an exclusive, irrevocable, perpetual licence to use it worldwide on the Site (and make it available to other users) and in our marketing materials and for any other business purposes, and to edit your Submissions in the event that Zukili Lifestyle Ltd deems it necessary or desirable to do so for whatever reason.

2.4 You acknowledge that making a Submission does not guarantee that such Submission, or any part thereof, shall appear on the Website, but agree that Zukili Lifestyle Ltd may, at its sole discretion, choose to display any Submission or any part of a Submission that you make on the Website.

 2.5 You warrant and represent that you own or are licensed to use any and all the intellectual property rights in any Submissions that you make to the Website.

 2.6 You acknowledge that you will not be able to edit or delete any Submission after submission.

2.7 Any user who feels that any Submission made by other users is objectionable is encouraged to contact us at zukili.lifestyle@gmail.com  We will review the relevant Submission as soon as is practicable and will take such action as it deems necessary, if any.

2.8 You must not use the Site to post, upload or otherwise transmit material which is obscene or pornographic, threatening, menacing, racist, offensive, defamatory, infringing of any intellectual property or otherwise unlawful, to harass, stalk, threaten or otherwise violate the rights of others, to misrepresent your identity or status, to hack into this Site or any other related computer system, to make excessive traffic demands, deliver viruses or forward chain letters or similar materials that may reasonably be expected to inhibit other users from using and enjoying the Site or any other web site or damage or destroy the reputation of Zukili Lifestyle Ltd or any third party. You shall not attempt to make unauthorised access to this website, the server on which the site is hosted or any server, computer or database related to our website. You undertake not to attack this website through any attack of denial of service or an attack of distributed denial of service.

Failure to comply with this Clause shall be considered an infraction as defined under the applicable regulations. We will report any failure to comply with this regulation to the corresponding authorities and we will co-operate with them to determine the identity of the attacker. Likewise, in the event of failure to comply with this Clause, authorisation to use this website shall be suspended immediately. We shall not be held liable for any damage or harm resulting from a denial of service attack, virus or any other software or technologically damaging or harmful material that may affect your computer, IT equipment, data or materials as a result of using this website or downloading content from the same or those to which this site redirects you.

2.9 Zukili Lifestyle Ltd accepts no obligation to monitor the use of the Site. However, Zukili Lifestyle Ltd reserves the right to disclose any information as required by law and/or to remove, refuse to post or to edit any information or materials; to block your access and to take such other action as may be reasonably necessary to prevent any breach of these terms and conditions or any breach of applicable law or regulation. Zukili Lifestyle Ltd will also in its absolute discretion fully co-operate with law enforcement and other relevant authorities with respect to any investigation of suspected unlawful activity or violation of network security.

2.10 Zukili Lifestyle Ltd may change the format and content of the Site from time to time. You should refresh your browser each time you visit the Site to ensure that you download the most up to date version of the Site.

 2.11 When you use this website and place orders through it, you agree not to make any false or fraudulent orders. If an order of this type may reasonably be considered to have been placed, we shall be authorised to cancel it and inform the competent authorities.

 

1. Your personal information

3.1 Use of your personal information is governed Zukili Lifestyle Ltd’s Privacy Policy, which forms part of these terms and conditions. In the event that Zukili Lifestyle Ltd undergoes reorganisation or is sold to a third party, you agree that any personal information Zukili Lifestyle Ltd holds about you may be transferred to that reorganised entity or third party and used in accordance with the Privacy Policy.

The Privacy Policy and the Terms and Conditions are based on The General Data Protection Regulation (EU) 2016/679.

 The information or personal details that you provide us shall be processed in accordance with the Data Protection Policies. When you use this website, you agree to the processing of the information and details and you state that all information and details provided are true and correspond to reality.

3.2 It is your responsibility to inform us of any change of address or other relevant details such as payment card details.

 4. Liability

 

4.1 You are referred to the important liability statement at the top of these terms and conditions. Subject to that statement you agree that your use of this Site and the Service is on an “as is” and “as available” basis. On that basis, except as expressly set out in these terms or in accordance with your statutory rights, Zukili Lifestyle Ltd does not enter into conditions, warranties or other terms in relation to the Site or the Services or any guaranteed or predicted result from using the Site, Services or Products.

 

4.2 The Site includes links to external sites and co-branded pages. Zukili Lifestyle Ltd has included links to these sites and co-branded pages to provide you with access to information and services that you may find useful or interesting. Zukili Lifestyle Ltd does not endorse the content of external sites and is not responsible for the content of these sites and pages or for anything provided by them.

 4.3 Subject to the important liability statement, Zukili Lifestyle Ltd is not liable for failure to comply with these terms and conditions due to any event beyond its reasonable control, including, without limitation, the input of incorrect information by you.

4.4 The Site or documents sent with a Product, or the packaging or labelling of a Product may contain instructions for use, warnings, contra-indications and other notices. You must read and follow these notices carefully and ensure others who use the Products do so. Subject to the important liability statement, we will not be legally responsible to you if any of these are not observed.

4.5 Zukili Lifestyle Ltd does not seek to exclude or limit liability for:

(a) death or personal injury caused by our negligence or the negligence of our directors, employees, agents or subcontractors;

(b) fraud or fraudulent misrepresentation;

(c)breach of any obligation and/or liability imposed on Zukili Lifestyle Ltd by any National law or regulation of Cyprus and/or any EU Directive or Regulation.

Notwithstanding the paragraph above, and to the extent legally allowed, and unless these Conditions indicate otherwise, we shall not accept any liability for the following losses, regardless of their origin:

1. loss of income or sales;
2. operating loss;
3. loss of profits or contracts;
4. loss of forecast savings;
5. loss of data; and
6. loss of business or management time.

And all exclusions or limitations of the liability of Zukili Lifestyle Ltd which are set out in these terms and conditions shall at all times be subject to the provisions of this clause 4.5.

 5. Password

5.1 As part of the Services offered via this Site, you may be issued with an individual password which can be used to access certain areas of the Site and provide fast checkout. You will use the password only for such access and not for any other purpose. You must keep your password confidential at all times, and must not disclose the password or permit anyone else to use your password. Any breach of any of these terms by anyone to whom you disclose the password will be treated as if the breach had been committed by you, and will not relieve you of your obligations under these terms and conditions.

5.2 In the event of any failure or error in the operation of a password, you shall cease using the password, exit the Site immediately, and notify Zukili Lifestyle Ltd of such failure or error.

5.3 Zukili Lifestyle Ltd reserves the right to change your password and user name at any time in its sole discretion and you agree to notify Zukili Lifestyle Ltd promptly of any changes to your registration details.

 6. Suspension and Termination of Service

 6.1 Zukili Lifestyle Ltd may suspend the operation of the Site for repair or maintenance work or in order to update or upgrade the contents or functionality of the Site from time to time. Access to or use of the Site or pages linked to it will not necessarily be uninterrupted or error free.

6.2 Zukili Lifestyle Ltd may terminate the Service and cease to send you Products immediately in the event you breach any of these terms and conditions or if you are late in or do not pay any sums due to Zukili Lifestyle Ltd.

7.Eligibility to purchase Products

 To place orders at Zukili-lifestyle.com clients must:

- Be 18 years of age or older.

- Be eligible and competent to enter legally binding contracts.

- Have a valid email address.

- In order to purchase Products, you must make a payment via wire transfer from your Bank account or submit a valid Visa or Mastercard credit or debit card, or valid PayPal payment login. You warrant that the payment card or PayPal login you submit is yours. All credit/debit card holders and Paypal users are subject to validation checks and authorisation by the card issuer or payment provider. Zukili Lifestyle Ltd is not responsible in the event that your payment card provider refuses to authorise payments.

 8. Ordering Products

8.1 Zukili Lifestyle Ltd will take all reasonable care to ensure that all Product Descriptions are correct. We have made every effort to display as accurately as possible the appearances, colours, textures or finishes of our Products. What you see will depend on your computer equipment, screen or monitor and we are therefore unable to guarantee that a Product’s images are an accurate representation of the actual merchandise. An item’s measurements given on zukili-lifestyle.com are only approximate values to give you a better understanding of the model or fit of that specific item, and not a definite guarantee of the actual measurements of the item you receive. The final measurements of an item may vary depending on the material used in its production. Please refer to our Returns Policy if you are unhappy with your Order.

 8.2 Products are subject to availability and those that are in your basket are not reserved and can be purchased by other Users. Zukili Lifestyle Ltd will do its best to remove any Products which have sold out at the earliest opportunity. As there is a delay between the time when your Order is placed, and the time when the Order is accepted, the stock position relating to a particular Product may change. If a Product you have ordered becomes out of stock after we have accepted your Order, then Zukili Lifestyle Ltd shall not be liable to you for being unable to provide that Product. If such a situation arises, then we shall notify you as soon as possible and you will not be charged for the out of stock Product or a refund will be issued.

9. Contract Formation

 9.1 Once you have placed an order, if you have supplied us with your email address, you will receive an email from us acknowledging that we have received your order. Please note that this does not mean that your Order has been accepted. Your Order constitutes an offer to Zukili Lifestyle Ltd to buy a Product via the Site (and Zukili Lifestyle Ltd reserves the right to refuse orders for Products). No contract will exist in relation to the Products until we have confirmed to you by email that the Product has been dispatched (Dispatch Confirmation). Our acceptance to your offer will be deemed complete and the contract between us shall be formed when we send you the Dispatch Confirmation email.

9.2 At any point up until the Dispatch Confirmation email, we may decline to supply the goods to you without giving any reason and if we have already received payment for such order, a refund will be issued using the same method used to make the payment. If, for any reason, alternative arrangements are necessary we will notify you and ask you to contact Zukili Customer Service who will settle the refund.

10. Pricing, availability and dispatch information of Products

10.1 Information displayed on the Site as to pricing and availability is subject to change by Zukili Lifestyle Ltd. Payment for the Products will be made via the Site in accordance with the procedure explained on the Site. All orders are subject to availability and confirmation of the order price.  

10.2 While we aim to be accurate, any availability information or dispatch estimates on the Site in relation to Products are approximate. As we process your order, we will inform you by email, telephone or SMS, if any Products you order turn out to be unavailable. Please allow up to 10 business days for delivery in extreme circumstances.

10.3 In spite of our best efforts, it is possible that a Product may be mispriced on the Site. We do, however, confirm prices as part of our dispatch procedures.

If we discover an error in the price of any of the products that you have ordered, we will inform you as soon as possible and give you the option of confirming your order at the correct price or cancelling it. If we are unable to contact you, the order will be considered cancelled and all amounts paid will be reimbursed to you in full. We are not obliged to provide you with any product at the incorrect lower price (even when we have sent the Shipping Confirmation) if the error in the price is obvious and unmistakable and could have reasonably been recognized by you as an incorrect price.

The prices on the website include VAT, but exclude delivery charges, which are added to the total price as indicated in the section 10.4 below on Delivery Charges. Prices may change at any time. However, except as stipulated above, the changes shall not affect the orders for which we have sent an Order Confirmation.

Pursuant to the prevailing rules and regulations in force, all purchases done through the website are subject to Value Added Tax (VAT).

 

10.4 Delivery Charges

Products will be dispatched to your delivery address as soon as reasonably possible after acceptance of your order. Delivery charges and sales tax will be made in accordance with your location and you will be informed of the relevant charge on the Site before you confirm your order.

10.5 Upon delivery of every order, Clients are asked to inspect the box carefully BEFORE signing for the delivery.

Any claim regarding damages, missing merchandise and/or delivery to the wrong address, must be received by Zukili Lifestyle Ltd within 7 days from the order’s delivery date on the carrier’s website, otherwise the claim will not be accepted.

If the package is not successfully delivered to the Client’s address due to a lack of cooperation from the Client (wrong telephone number, wrong address, absent at address, non-compliance with import regulations) as per the zukili-lifestyle.com commercial agreement, the package may risk being sent back to Zukili warehouse at the Client’s expense including any courier fees. These fees will be deducted from any eventual reimbursement.

10.6  You can Pre-Order items that have an expected shipment date in the coming months. The expected shipment date indicated is the confirmed date given to zukili-lifestyle.com by the supplier. If using a Credit Card or PayPal, the full price will be deducted the same day in which the order is placed. If paying for a Pre-Order by Bank Wire Transfer, payment must be sent within 48 hours from the time in which the order was placed.

Zukili Lifestyle Ltd is not responsible for changes to the delivery date, cancellations or modifications of Pre-Order items caused by supplier production changes. If a Pre-Order item can no longer be sold, the amount paid will be refunded using the original payment method. Pre-Order items will be shipped as soon as they are available.

 11.Warranties

 Zukili Lifestyle Ltd warrants that the Services will be supplied with reasonable skill and care.

 

12.Statutory rights and refunds

12.1 We amend these terms and conditions from time to time. Please look at the top of this page to see when these terms and conditions were last updated. Every time you order products from us, the terms and conditions in force at the time of your order will apply to the contract between you and us. If we have to revise these terms and conditions and this has a material impact on your order, we will contact you to give you reasonable advance notice of the changes and let you know how to cancel the contract if you are not happy with the changes. By browsing the Site you are accepting that you are bound by the current terms and conditions which relate to your use of the Site. You should check these each time you revisit the Site.

12.2 These terms and conditions form the entire understanding of the parties and supersede all previous agreements, understandings and representations relating to the subject matter.

12.3 If any provision of these terms and conditions is found to be unenforceable, this shall not affect the validity of any other provision.

12.4 Zukili Lifestyle Ltd may delay enforcing its rights under these terms and conditions without losing them.

12.5 You agree that Zukili Lifestyle Ltd may sub-contract the performance of any of its obligations or may assign these terms and conditions or any of its rights or obligations without giving you notice.

12.6 These terms and conditions shall be governed and interpreted in accordance with Cyprus law, and you consent to the non-exclusive jurisdiction of the Cyprus courts.

13.Competitions & Promotions

13.1 Promotions

Promotional offers are valid when used online at www.zukili-lifestyle.com and will allow money off when you order from Zukili Lifestyle Ltd. Offers may require the use of specific codes to be entered during the checkout process. Codes are valid for a set length of time. Promotions are often unique and cannot be used in conjunction with other offers. Offers may be limited to one use per customer.

In the event of a return of goods purchased using a promotional code, refunds will be credited for the original amount paid and to the original method of payment. Promotional codes do not apply towards any delivery charges; the promotional code is not applied to any delivery services available online. Zukili Lifestyle Ltd reserves the right to amend the terms and conditions of this promotion at any time and to take the appropriate action including cancellation of the code.

14. Gift Voucher Terms & Conditions

14.1 Gift vouchers can only be used for purchases at www.zukili-lifestyle.com

14.2 Gift vouchers cannot be redeemed for cash.

14.3 Gifts and offers based on the total amount paid are only valid when vouchers are purchased and not when they are redeemed.

14.4 Upon gift voucher redemption, gifts with purchases will be given only if the purchase is part of a brand/ category promotional activity.

14.5 Gift vouchers purchased in store or online can be redeemed online and vice versa.

14.6 Valid for 6 months from purchase date.

 

 15.Events beyond our control

We will not be liable for any non-compliance or delay in compliance with any of the obligations we assume under a Contract when caused by events that are beyond our reasonable control ("Force Majeure"). Force Majeure shall include any act, event, failure to exercise, omission or accident that is beyond our reasonable control, including, among others, the following:

1. Strike, lockout or other forms of protest.
2. Civil unrest, revolt, invasion, terrorist attack or terrorist threat, war (declared or not) or threat or preparation for war.
3. Fire, explosion, storm, flood, earthquake, collapse, epidemic or any other natural disaster.
4. Inability to use trains, ships, aircraft, motorised transport or other means of transport, public or private.
5. Inability to use public or private telecommunication systems.
6. Acts, decrees, legislation, regulations or restrictions of any government or public authority.
7. Strike, failure or accident in maritime or river transport, postal transport or any other type of transport.

 

It shall be understood that our obligations deriving from Contracts are suspended during the period in which Force Majeure remains in effect and we will be given an extension of the period in which to fulfil these obligations by an amount of time equal to the time that the situation of Force Majeure lasted. We will provide all reasonable resources to end the situation of Force Majeure or to find a solution that enables us to fulfil our obligations by virtue of the Contract despite the situation of Force Majeure.

 

 General

16. By participating in the Promotion, you agree to be bound by these Terms and Conditions and by our decisions, which are final in all matters relating to these Terms and Conditions, the Promotion, the draw and/or the results and no correspondence or discussion shall be entered into.

17. To the extent permitted by law we accept no responsibility for lost, late, misdirected, undeliverable or incomplete entries, whether due to system errors or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise.

18. Personal information collected from entrants will be used by us solely in connection with the Promotion and will not be disclosed to any third party except for the purpose of operating the Promotion and fulfilling the prize where applicable.

19. These Terms and Conditions shall be governed by and construed in accordance with Cyprus law and any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Cyprus Courts.
